By accessing this website, you agree to comply with these Terms and Conditions. If you do not agree to all of the Terms and Conditions stated on this page, do not continue to use Inovarallc LLC’s website.
License to Use
We grant you a limited license to access and use the content of Inovarallc LLC for personal, non-commercial purposes. You may not modify, reproduce, or distribute any content without our express written consent.
Payment
Deposits, Final Payments, and Delivery
We reserve the right to request a 50% deposit prior to beginning work on your project. If a deposit is requested, an invoice will be generated and sent to you via email, with payment expected within 30 days of the invoice date. By submitting the deposit, you accept these Terms of Service and enter into a contract with Inovarallc LLC.
The remaining balance for the project will be invoiced prior to the release of any logo files or final exports. We reserve the right to withhold delivery until full payment has been received.
If you have been uncontactable or unresponsive for more than 30 days, we reserve the right to invoice before the originally agreed timeline.
You may request a payment plan, which may be approved at our discretion. All payment plans must be agreed to by both parties in writing.
All payments are due within 30 days of the invoice date.
We reserve the right to charge fees for any costs incurred related to the initiation of collection and recovery processes for accounts that remain unpaid beyond 30 days.
Fonts & Typefaces
Licensing of Fonts or Typefaces
Any fonts or typefaces purchased for use in the final logo and/or supporting brand identity assets are subject to commercial licensing laws. A font/typeface license grants full rights to use the font/typeface to the owner only.
In the initial concept presentation, we will provide information about the typefaces used and where they can be acquired. It is the client’s responsibility to acquire any necessary font licenses (whether paid or unpaid). Please bear this in mind when approving designs.
It is against the law for us to provide a copy of any font/typeface that we have personally purchased.
If you wish to use a font/typeface that we have purchased commercially, you must purchase the appropriate font/typeface license and register it in your name.
Typically, fonts used in logos do not require a license, as they are converted to vector artwork and are no longer editable. However, if you need to use the font for other purposes, such as website or print materials, you will need to acquire your own license.

Restrictions
Restrictions on Agreement Use
These Terms of Service do not grant you the rights to modify, alter, replicate, or use any of the concepts, sketches, or ideas presented by us. All original preparation materials, sketches, visuals, and unused ideas remain the property of Inovarallc LLC.
We retain the right to use these unused and previous ideas for future projects. If a previously unused idea/design resembles the final logo, we may repurpose and adjust it to ensure it is sufficiently different to avoid conflict.
Unless otherwise agreed, we reserve the right to showcase the final logo and associated designs in our portfolio, online galleries, showcases, and printed literature, including books and magazines. This includes commercial print design, business cards, stationery, signage, desktop icons, and mobile device application icons.
Any supporting artwork and designs for the project may be used by us for personal and professional purposes.
You are free to modify and adapt the final logo design, but this is done at your own risk.
Ownership & Copyright
All preparation materials, sketches, visuals, and electronic files used in creating the project remain the property of Inovarallc LLC. The final artwork and digital files will only become your property once the final payment has been received.
If final payment is not received as agreed, all designs and concepts will remain the property of Inovarallc LLC until payment is made.
If there are payment issues, we reserve the right to reuse or amend these designs for other clients or as portfolio pieces.
Should you attempt to use, modify, or replicate any of our ideas without final payment, we will seek legal counsel.
Inovarallc LLC reserves the right to display any artwork, ideas, or sketches created for this project in our portfolio as examples of our work. If you require confidentiality or an NDA, please specify before agreeing to the proposal.
Final payment ensures that only the agreed-upon logo design becomes your property. Any previous concepts or ideas remain our property unless otherwise agreed.
Trademark & Copyright
Due to the complex and costly process of initiating a trademark, copyright, or legal name search, we cannot assist with these matters.
If you wish to register the logo as a trademark, you must seek your own legal advice.
Brand Naming
You are fully responsible for ensuring that your company/product/name is legally available before work begins. Should any legal issues arise regarding the name after the project is completed, no refunds will be provided, and we will not be liable for any related issues.
Please ensure that the name you are using is legally free to use before committing to a logo project. Changing the project name mid-way is costly, challenging, and may cause delays.
If a name change is required during the project after significant logo exploration, we will recalculate the project cost to account for the additional work involved. Please ensure the name has been legally checked to avoid trademark or business name conflicts.
Cancellation
Cancellation During the Project
If you cancel the project after ideas and proposals have been submitted, no refunds will be provided. However, depending on the work completed and the overall budget, a portion of the funds may be returned.
If we are unable to complete the project due to illness or unforeseen circumstances, a portion of the total budget will be refunded, and in most cases, the full amount will be returned. If completed work can be used by another designer, a percentage will be refunded based on the work completed.
Project Suspension
We reserve the right to suspend a project if there is excessive micromanagement, a lack of trust, an unwillingness to move forward after presenting multiple logo ideas, or reluctance to pay the final balance.
We will provide fair notice and an opportunity to address the situation before resorting to suspension or termination. Any suspension or termination will not result in refunds, and all designs and work created remain the property of Inovarallc LLC.
Force Majeure
If we fail to perform any obligation under these Terms of Service due to unforeseen events such as acts of God, government actions, terrorism, riots, war, accidents, or any other cause beyond our control, this will not be considered a breach of the agreement. We will notify you of the situation and resume work as soon as possible after the cause is resolved.
Limitation of Liability
Loss or Damage
You agree that Inovarallc LLC is not liable for any loss or damage incurred from the use of our services, including errors, omissions, or reliance on third-party content or advertisements. Your use of our services and materials is at your own risk, and we will not be held liable for any issues that arise.
We affirm that all designs presented to you are original and, to the best of our knowledge, do not infringe on any other work. While we perform limited checks for plagiarism or infringement, we assume no legal responsibility for any legal issues that may arise. You agree to conduct your own due diligence on the originality of our work and discuss any concerns with us before the project begins.
